Terms of service
Version 0.1 (draft) · applies from [date]
These terms apply between [Company AS], org. no. [000 000 000], [address], Norway ("we") and the business that creates an account ("the customer"). Sats is offered to businesses only, not to consumers.
1. The service
Sats is a service for designing document templates and producing PDF documents from them through a web editor and an HTTP API. The functions and limits are described at /docs.
2. Account and access
- The person who accepts these terms for the customer confirms that they may bind the customer.
- The customer is responsible for its users, roles and API keys, and for keeping passwords and keys secret. Tell us at once at [security@example.no] if a key may have leaked; revoke it in the editor.
- We may suspend access that threatens the security or stability of the service, and will tell the customer why.
3. Customer content
- The customer owns its templates, assets and the data it sends for rendering, and is responsible for having the right to use them.
- We process customer content only to provide the service, as described in the data processing agreement (/dpa). Rendered PDFs and the data sent for rendering are not stored after the response.
- The customer must not use the service for unlawful content or to send content that infringes the rights of others.
4. Prices and invoicing
- Prices are agreed with each customer in writing. Unless agreed otherwise they are per document produced, counted per calendar month (Europe/Oslo); the count is available through the API.
- We invoice monthly in arrears, payable within 14 days. Prices exclude VAT.
- We may change prices with at least 30 days' notice by e-mail; the change applies from the next month.
5. Availability and support
We aim for high availability but give no guaranteed uptime. Planned maintenance is announced on the status page. Support by e-mail at [support@example.no] on Norwegian working days.
6. Liability
- The service is provided as it is. We are liable only for direct losses caused by our negligence, and our total liability in a calendar year is limited to what the customer paid us in the 12 months before the event.
- We are not liable for indirect losses, such as lost profit or lost data that the customer could have kept a copy of.
- Neither party is liable for events outside its control (force majeure).
7. Term and termination
- The customer may terminate at any time by e-mail to [support@example.no]; prices agreed for a period run to the end of that period.
- We may terminate with 30 days' notice, or at once for a material breach.
- After termination we delete the customer's content within 30 days, except what we must keep by law (for example accounting records). The customer can export templates before that.
8. Changes to the terms
We may change these terms with at least 30 days' notice by e-mail. Continued use after the change means acceptance.
9. Law and venue
Norwegian law applies. Disputes go to [Oslo] District Court.
